QUYI TECHNOLOGY PTE.LTD.("Zestr" or "the Company") hereby expressly reminds you to carefully read this Zestr Membership Service Agreement ("Agreement") before activating Zestr Membership Services. Ensure that you fully understand all terms herein, including clauses limiting the Company’s liability and restricting user rights. Read this Agreement prudently and choose to accept or decline its terms. Unless you accept all terms of this Agreement, you may not register, log in, or use the services described herein. Your registration, login, or use of the services shall constitute acceptance of this Agreement and your binding commitment to comply with all its terms. This Agreement governs the rights and obligations between Zestr and users regarding Zestr Membership privileges and related matters. "User" refers to any individual or single entity that registers and logs into a Zestr account to access Zestr services.
If you disagree with any part of this Agreement or cannot accurately interpret its terms, do not proceed further. By purchasing or using Zestr Membership Services, you acknowledge entering into this Agreement and voluntarily accepting all its contents.
I. General Provisions
The Zestr Membership Service Agreement ("Agreement") constitutes a legal agreement between you and Zestr concerning matters related to Zestr Membership Services. This Agreement is an integral part of the Zestr Terms of Service , Zestr Privacy Policy, and other relevant Zestr rules. Additionally, any updates, activity rules, or policies related to Membership Services published by Zestr from time to time shall form part of this Agreement. By using Zestr Membership Services, you agree to comply with all terms herein and other applicable agreements.
Zestr reserves the right to modify or update Membership Services and/or this Agreement based on operational needs. If you disagree with such changes, you may discontinue using Zestr Membership Services. Continued use of the services (including but not limited to purchasing Membership, completing registration without objection, or accessing Membership privileges) constitutes acceptance of all terms, including modifications.
You acknowledge that differences in software versions, devices, operating systems, or third-party factors may affect your access to specific Membership Services. You agree not to hold Zestr liable for any inconvenience arising from such discrepancies.
II. Service Description
Zestr refers to the voice-based social product developed and operated by QUYI TECHNOLOGY PTE.LTD. Zestr Membership Services are paid value-added services provided through Zestr’s mobile application. Access to Membership privileges requires payment of applicable fees. Specific benefits are detailed on the purchase page at the time of transaction.
User or You: Refers to an individual or single entity that registers, logs into Zestr, and purchases Zestr Membership Services.
Zestr commits to maintaining the stability of Membership Services and providing technical and customer support. In the event of technical failures affecting service delivery, Zestr will endeavor to resolve issues promptly.
III. Activation of Zestr Membership Services
Eligibility: You represent that you possess full civil rights capacity and civil capacity for conduct as a natural person, legal entity, or organization. If you lack such capacity, Zestr reserves the right to deny Membership Services per applicable laws.
Activation: You may activate Membership Services via the designated payment methods within the Zestr app.
Prohibited Conduct: You shall not activate Membership Services for yourself or others through:
(1) Non-personal use for profit or commercial purposes;
(2) Automated tools (e.g., bots, spiders, scripts, or screen-scraping software);
(3) Exploitation of system vulnerabilities, fraudulent practices, or violations of good faith principles;
(4) Unauthorized modification of Membership duration, transaction status, or payment amounts;
(5) Unauthorized third-party channels;
(6) Infringement of Zestr’s or third-party rights;
(7) Any illegal or policy-violating means.
Violations may result in modification, suspension, or termination of Membership Services without refund or compensation.
Accuracy of Information: Ensure the accuracy of account details, service type, and duration during activation. Zestr will not refund fees due to user errors in account or service selection.
Pricing Variations: Zestr may offer differentiated pricing or benefits based on user status or promotional phases. Specific terms will be displayed on relevant service pages.
Non-Transferability: Membership Services are limited to the registered account and may not be transferred between Zestr accounts.
Service Period: Membership privileges are granted on a monthly basis, with the settlement date being the 30th day from activation. Unused privileges expire on the settlement date. Check your Membership Center for details.
Renewal Notices: Zestr will notify you via in-app messages or system alerts prior to Membership expiration. Failure to renew results in service termination.
Non-Refund Policy: Membership Services constitute virtual goods and are non-refundable after activation, except in cases of material breach by Zestr, legal requirements, or explicit Company approval.
IV. User Rights and Obligations
Privileges: Membership benefits are detailed in the Membership Center. Discrepancies between privilege names and descriptions do not affect actual entitlements.
Prohibited Transfers: You shall not sell, transfer, lease, or misuse accounts to obtain or share Membership privileges.
Service Adjustments: Zestr may modify Membership benefits at its discretion. Continued use constitutes acceptance of adjusted terms, and you waive claims against Zestr for such changes.
Consequences of Breach: Violations of this Agreement may result in:
(1) Removal or blocking of content;
(2) Suspension or termination of Membership Services;
(3) Deduction of unused fees/benefits as liquidated damages; further liability for losses exceeding such deductions.
Legal Compliance: You agree to use Membership Services lawfully, refraining from activities harming national security, public order, or third-party rights (e.g., terrorism, hate speech, fraud). Zestr may terminate services immediately for suspected violations.
Account Security: You are solely responsible for safeguarding account credentials. Zestr bears no liability for losses due to unauthorized access unless caused by Company negligence.
V. Suspension or Termination of Services
Grounds for Termination: Zestr may suspend or terminate services if:
(1) You voluntarily discontinue services (e.g., non-renewal);
(2) Violations of laws, this Agreement, or harm to Zestr’s reputation occur;
(3) Required by law, government orders, or security emergencies;
(4) Force majeure events (e.g., cyberattacks, government restrictions, technical failures);
(5) Other uncontrollable circumstances.
Post-Termination:
(1) Unused Membership benefits will be forfeited without compensation;
(2) Fees are non-refundable unless otherwise stated by law or Zestr;
(3) Breach-related termination may incur liability for damages;
(4) Zestr bears no liability to you or third parties unless required by law.
VI. Applicable Law and Jurisdiction.
Subject to the Supplemental Terms Jurisdiction Specific, these Terms, their subject matter and their formation, are governed by the laws of Republic of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity or termination of these Terms, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of SIAC("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Hong Kong. The Tribunal shall consist of three (3) arbitrators. The language of the arbitration shall be English.
VII.Miscellaneous
Notices:
(1) Notices may be delivered via in-app announcements, emails, SMS, or other means. Notices are deemed effective upon sending.
(2) Ensure contact information is accurate and updated. Zestr is not liable for losses due to outdated or incorrect details.
(3) Notices may materially affect your rights; monitor communications accordingly.
Severability: If any clause is invalid or unenforceable, the remainder remains binding.
Updates: Zestr may revise this Agreement as needed to align with platform development and user management practices.
